AMERBACH TERMS AND CONDITIONS

Effective Date: September 1, 2026

These Terms and Conditions ("Terms") govern your access to and use of the website, platform, and related services operated by Amerbach (as defined below), including the browsing, purchase, and use of academic resources, and any submission of materials by Contributors (as defined below) (collectively, the "Services").

By creating an Account, accessing the Platform, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

1. About These Terms

1.1 Parties

These Terms form a binding agreement between you ("you" or "User") and Amerbach, operated by Amerbach Society, Inc., a corporation with its principal place of business at 1074 Greentree Rd, Pittsburgh, Pennsylvania 15220, United States ("Amerbach," "we," "us," or "our").

1.2 Acceptance

By accessing or using the Services, creating an Account, making a Purchase, or submitting Materials, you confirm that you have read, understood, and agree to be bound by these Terms and any policies incorporated by reference, including the Amerbach Privacy Policy, available at https://amerbach.com/privacy.

1.3 Eligibility

You must have the legal capacity to enter into a binding agreement to use the Services. The Services are intended for use by individuals who are at least eighteen (18) years of age, the age of majority in the United States. If you are under 18, you may only use the Services with the involvement and consent of a parent or legal guardian, who must accept these Terms on your behalf and take responsibility for your use of the Services. Amerbach does not knowingly collect personal information from children under thirteen (13) years of age in a manner inconsistent with the Children's Online Privacy Protection Act ("COPPA"). If we become aware that we have collected personal information from a child under 13 without verifiable parental consent, we will take steps to delete that information.

1.4 Acceptance on Behalf of an Organization

If you accept these Terms on behalf of an institution, employer, or other organization, you represent that you have the authority to bind that organization, and "you" will refer to both you individually and that organization.

1.5 Scope

These Terms apply to all current features of the Services. Additional or supplementary terms may apply to specific products or promotions. Where such additional terms conflict with these Terms, the additional terms will govern for that specific product or promotion.

3.1 Account Creation

Certain features of the Services require you to create an Account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You must notify Amerbach promptly at privacy@amerbach.com if you become aware of any unauthorized access to or use of your Account.

3.3 One Account Per User

Each Account is intended for use by a single individual. You may not share your Account credentials with others or permit another person to access the Services through your Account.

3.4 Suspension and Termination of Accounts

Amerbach may suspend or terminate an Account where a User has violated these Terms, engaged in fraudulent or unlawful activity, or where required to protect the security or integrity of the Platform. See Section 19 (Suspension and Termination).

3.5 Account Deletion

You may request deletion of your Account at any time by contacting privacy@amerbach.com. Deletion of your Account does not automatically extinguish any rights or obligations that arose prior to deletion, including payment obligations or license grants already made under Section 8.

4. Using the Amerbach Platform

4.1 License to Use

Subject to your compliance with these Terms, Amerbach grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.

4.2 Restrictions

Except as expressly permitted by these Terms or by separate written agreement with Amerbach, you must not:

  • copy, reproduce, distribute, modify, publicly display, or create derivative works from the Content or Materials;
  • sell, rent, sublicense, or otherwise commercially exploit the Content or Materials outside the Platform;
  • reverse engineer, decompile, or disassemble any software underlying the Services, except to the extent permitted by applicable law;
  • use any automated means (bots, scrapers, crawlers) to access, extract, or index Content or Materials from the Platform;
  • circumvent or attempt to circumvent any security, access-control, or rights-management feature of the Platform;
  • use the Services to build a competing product or database.

4.3 Use of Content or Materials with Artificial Intelligence Tools

Except as expressly permitted under these Terms or a separate written agreement, you may not use Content or Materials obtained through the Services to train, fine-tune, test, or otherwise develop artificial intelligence or machine learning models.

5. Academic Resources and the Amerbach Marketplace

5.1 Marketplace Model

Amerbach operates as a marketplace connecting Contributors, who offer Academic Resources for sale, with Customers, who purchase them. When a Customer completes a Purchase, the sale is a transaction between the Customer and the relevant Contributor. Amerbach is not a party to that underlying sale, but facilitates it by operating the Platform, processing payment through its payment processor, and charging the Contributor a commission as described in Section 6.5.

5.2 Access to Purchased Materials

Upon completing a Purchase, you receive a limited, personal, non-exclusive, non-transferable right to access and use the relevant Academic Resource for your own personal, non-commercial, educational use, subject to these Terms.

5.3 Permitted Use

You may view, and where the product permits, download or print Academic Resources for your personal study use. You must retain any copyright or attribution notices included in the Materials.

5.4 Prohibited Use

You must not copy, redistribute, resell, publicly share, re-upload to another platform, or otherwise make available to third parties any Academic Resource obtained through the Services, whether for payment or free of charge, except with the prior written permission of Amerbach and the relevant Contributor.

5.5 Availability and Accuracy

Amerbach does not create or independently verify the content of Academic Resources offered by Contributors and does not guarantee that any Material is complete, accurate, error-free, or suitable for a particular purpose, including examination preparation. See Section 16 (Disclaimers).

5.6 Changes to Products

Amerbach may update, modify, or discontinue specific product categories or platform features from time to time. Where reasonably practicable, Amerbach will provide notice of material discontinuations affecting active Purchases.

5.7 Errors in Listings

If an Academic Resource is listed, described, or priced in error, Amerbach reserves the right to correct or remove the listing and, where a Purchase has already been made in reliance on that error, to cancel the transaction and refund any amount paid.

6. Purchases and Payments

6.1 Pricing

Contributors set the price for their own Academic Resources, subject to any minimum or maximum pricing rules published on the Platform. Prices are displayed at the time of Purchase and may change from time to time; changes will not affect Purchases already completed.

6.2 Payment Processing

Payments and Contributor payouts are processed through Amerbach's third-party payment processor, Paystack. By making a Purchase or receiving a payout, you agree to be bound by Paystack's applicable terms of service in addition to these Terms.

6.3 Taxes

You are responsible for any applicable taxes, duties, or similar charges associated with your Purchase or your earnings as a Contributor, except where Amerbach is required by law to collect and remit such amounts itself.

6.4 Authorization and Failed Payments

By providing payment information, you represent that you are authorized to use the relevant payment method. If a payment fails or is reversed, Amerbach may suspend or restrict your access to the relevant Academic Resource until payment is resolved.

6.5 Contributor Commission and Payments

When a Customer purchases a Contributor's Academic Resource, Amerbach retains a commission of forty percent (40%) of the purchase price, and the Contributor receives the remaining sixty percent (60%). Contributor earnings accrue to the Contributor's Account balance and may be withdrawn vendors preffered payment method i.e bank transfer, paypal, once the balance reaches a minimum of fifty US dollars (USD $50). Amerbach may adjust the commission rate or minimum withdrawal amount from time to time by posting an updated rate on the Platform; such changes will apply only to sales completed after the change takes effect.

6.6 Chargebacks

Initiating a chargeback or payment dispute without first contacting Amerbach to resolve the underlying issue may result in suspension of your Account pending resolution.

7. Refunds and Cancellations

7.1 General Approach

Because Academic Resources are digital products purchased from individual Contributors, Purchases are final once access has been granted, except as set out in this Section or as required by applicable consumer protection law.

7.2 Refund Eligibility

You may request a refund if all of the following conditions are met:

  • your Purchase was made no more than fourteen (14) days before your refund request;
  • you have confirmed that the content or scope of the Academic Resource materially differs from what was described in its Platform listing, or the Material is otherwise inaccessible or defective; and
  • you have only viewed the Academic Resource using the Platform's online viewer (where available) and have not downloaded the file.

7.3 Refund Requests

Refund requests should be submitted to privacy@amerbach.com within the 14-day window described in Section 7.2, together with reasonable supporting information. Approved refunds will be issued to your original payment method via Paystack.

7.4 Mandatory Consumer Rights

Nothing in this Section 7 limits any statutory right to a refund, replacement, or other remedy that applies to you under the mandatory consumer protection laws of your jurisdiction. Where such laws grant you rights beyond this Section, those laws will prevail.

7.5 Subscriptions

Amerbach does not currently offer Subscriptions. If Amerbach introduces Subscriptions in the future, their specific cancellation terms, renewal notices, and any applicable cooling-off period will be presented separately at the time of purchase.

8. Contributors and Submitted Content

8.1 Who May Contribute

Contributors must meet any eligibility criteria published on the Platform and agree to these Terms, including this Section 8, before submitting Materials.

8.2 Ownership

As between you and Amerbach, you retain ownership of the Intellectual Property Rights in Materials you submit as a Contributor, except to the extent those Materials incorporate third-party content for which you hold only a license, or as otherwise agreed in a separate written agreement.

8.3 License Granted to Amerbach

By submitting Materials, you grant Amerbach a worldwide, royalty-free, non-exclusive, sublicensable license to host, reproduce, store, format, distribute, publicly display, and promote your Materials, and to make any technical modifications reasonably necessary to operate the Services (such as file-format conversion or the addition of a watermark), for so long as the Materials remain available on the Platform. This license ends when you remove the Materials from the Platform, except with respect to copies already lawfully sold to Customers prior to removal.

8.4 Contributor Warranties

By submitting Materials, you represent and warrant that:

  • you own the Materials or hold all rights and permissions necessary to submit and license them as described in Section 8.3;
  • the Materials are original to you, or you have obtained all necessary permissions from the rights holder(s);
  • the Materials do not infringe the copyright, trademark, or other rights of any third party;
  • the Materials do not include institutional examination papers, answer keys, or other materials that you are not authorized to share, and your submission does not violate any policy of an educational institution or agreement to which you are subject;
  • the Materials comply with applicable law and do not contain unlawful, defamatory, or otherwise actionable content.

8.5 Prohibited Materials

You must not submit Materials that constitute plagiarized work, unauthorized copies of copyrighted textbooks or course materials, leaked or misappropriated examination content, malware, or content that otherwise violates these Terms or applicable law.

8.6 Review and Moderation

Amerbach may, but is not obligated to, review submitted Materials for compliance with these Terms. Amerbach may refuse to publish, or may remove, any Materials at its reasonable discretion, including in response to a complaint under Section 10.

8.7 Contributor Responsibility

You are solely responsible for your submitted Materials. Amerbach does not verify the accuracy or completeness of Contributor-submitted Materials and disclaims responsibility for their content to the fullest extent permitted by law.

8.8 Removal of Content

You may request removal of your Materials from the Platform at any time by contacting privacy@amerbach.com, subject to Section 8.3.

9. Intellectual Property Rights

9.1 Amerbach IP

The Platform, including its design, layout, look and feel, software, databases, logos, trademarks, and any Content created by Amerbach, is owned by Amerbach or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms transfers any such rights to you.

9.2 Third-Party IP

Certain Materials or Content may incorporate third-party intellectual property, used under license or authorization from the relevant rights holder. Such material remains the property of the applicable third party.

9.3 Contributor-Owned Materials

Materials submitted by Contributors remain owned by the Contributor (or underlying rights holder) as set out in Section 8.2, subject to the license granted under Section 8.3.

9.4 Restrictions

You must not use Amerbach's trademarks, logos, or branding without prior written consent, and must not remove, obscure, or alter any copyright or proprietary notice appearing on the Platform or in the Materials.

10. Copyright and Intellectual Property Complaints

10.1 Notice of Alleged Infringement

If you believe that Materials available on the Platform infringe your Intellectual Property Rights, please send a notice to privacy@amerbach.com that includes:

  • identification of the Materials and its location on the Platform;
  • a description of the right you believe is infringed and why;
  • your contact details;
  • a statement, made in good faith, that the use is unauthorized; and
  • a statement, under penalty of applicable law, that the information provided is accurate and that you are the rights holder or authorized to act on their behalf.

10.2 Investigation and Action

Amerbach will review notices submitted in accordance with Section 10.1 and may remove or disable access to the Materials in question pending investigation, without liability to the Contributor for doing so in good faith.

10.3 Counter-Notice

A Contributor whose Materials have been removed may submit a counter-notice to privacy@amerbach.com explaining why the Materials do not infringe. Amerbach will consider the counter-notice and may restore the Materials if it reasonably concludes that removal was unwarranted.

10.4 Repeat Infringement

Amerbach may suspend or terminate the Account of a Contributor who is subject to repeated, substantiated infringement notices.

10.5 No Admission

Amerbach's removal of Materials in response to a notice is not an admission of infringement by Amerbach or the Contributor.

11. Academic Integrity and Responsible Use

11.1 Intended Use

Academic Resources are intended to support learning, revision, and independent study. They are not intended to be submitted as a User's own original work, used to circumvent an educational institution's academic integrity policies, or used to obtain unauthorized access to examination content.

11.2 Prohibited Conduct

You must not use the Services to:

  • submit purchased or downloaded Materials, in whole or in part, as your own original coursework, assignment, or examination answer, where doing so would violate your institution's policies;
  • impersonate another individual or misrepresent your academic affiliation;
  • upload or seek to obtain unauthorized copies of live or upcoming examination papers or answer keys;
  • otherwise engage in plagiarism or academic misconduct.

11.3 No Guarantee of Outcomes

Amerbach provides Academic Resources to support learning but makes no representation that use of the Services will result in particular academic outcomes, grades, or examination results, and does not monitor or enforce the academic integrity policies of any educational institution.

12. Prohibited Activities

In addition to the restrictions set out elsewhere in these Terms, you must not use the Services to:

  • engage in any unlawful, fraudulent, or deceptive activity;
  • harass, abuse, or threaten other Users;
  • gain or attempt to gain unauthorized access to any Account, system, or network connected to the Services;
  • introduce malware, viruses, or other harmful code;
  • interfere with or disrupt the operation of the Platform;
  • infringe the Intellectual Property Rights of Amerbach, Contributors, or third parties;
  • share Account credentials or facilitate unauthorized access to paid content;
  • redistribute paid Materials outside the Platform.

Amerbach reserves the right to investigate and take appropriate action, including suspension or termination of an Account, in response to violations of this Section.

13. Third-Party Services and Links

13.1 Third-Party Providers

The Services rely on third-party providers, including Paystack (payments), authentication services, hosting infrastructure, and analytics providers, to operate. Your use of such third-party services may be subject to their own separate terms.

13.2 External Links

The Platform may contain links to third-party websites or resources. Amerbach does not endorse and is not responsible for the content, accuracy, or practices of any linked third-party site.

14. Privacy

Amerbach processes personal information in accordance with the Amerbach Privacy Policy, available at https://amerbach.com/privacy, which is incorporated into these Terms by reference. By using the Services, you consent to such processing in accordance with that Policy.

15. Availability and Changes to the Services

15.1 No Guarantee of Uninterrupted Access

Amerbach uses commercially reasonable efforts to keep the Platform available but does not guarantee that the Services will be uninterrupted, error-free, or available at all times. The Services may be temporarily unavailable due to maintenance, technical issues, or circumstances beyond Amerbach's control.

15.2 Changes to the Platform

Amerbach may modify, update, or discontinue features of the Services from time to time. Where a change materially affects active Purchases, Amerbach will use reasonable efforts to provide advance notice.

16. Disclaimers

16.1 Educational Content

Academic Resources are provided by Contributors to support learning and study. Amerbach does not guarantee the accuracy, completeness, or currency of any Academic Resource, and does not warrant that use of the Services will lead to any particular examination result or academic outcome.

16.2 "As Is" Basis

To the fullest extent permitted by applicable law, the Services and all Content and Materials are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

16.3 No Override of Mandatory Rights

Nothing in this Section 16 excludes or limits any warranty or right that cannot lawfully be excluded or limited under applicable consumer protection law.

17. Limitation of Liability

17.1 Exclusion of Indirect Losses

To the fullest extent permitted by applicable law, Amerbach will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or relating to your use of the Services.

17.2 Liability Cap

To the fullest extent permitted by applicable law, Amerbach's total aggregate liability arising out of or relating to these Terms or the Services will not exceed the total amount you paid through the Platform in the twelve (12) months preceding the event giving rise to the claim.

17.3 Exceptions

Nothing in this Section 17 excludes or limits liability that cannot lawfully be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or fraud.

18. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Amerbach, its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, and reasonable expenses (including legal fees) arising out of or relating to: (a) your Materials or Submissions; (b) your violation of these Terms; (c) your infringement of any third-party right; or (d) your unlawful or unauthorized use of the Services. This obligation applies proportionately to your own conduct and does not extend to claims arising from Amerbach's own breach of these Terms, negligence, or willful misconduct.

19. Suspension and Termination

19.1 By Amerbach

Amerbach may suspend or terminate your Account or access to the Services, with or without notice, where you materially violate these Terms, engage in fraudulent or unlawful conduct, infringe the rights of a third party, or where necessary to protect the Platform, other Users, or Amerbach.

19.2 By You

You may stop using the Services and delete your Account at any time in accordance with Section 3.5.

19.3 Effect of Termination

Upon termination:

  • your license to access the Services under Section 4.1 ends;
  • Academic Resources you have already lawfully purchased will generally remain accessible unless your Account was terminated for a violation directly related to that content;
  • Contributor Materials already licensed to Amerbach under Section 8.3 will be treated in accordance with that Section;
  • any positive Contributor balance will be paid out in accordance with Section 6.5, unless your Account was terminated for a violation of these Terms, in which case Amerbach may withhold amounts reasonably necessary to cover losses caused by that violation;
  • provisions of these Terms that by their nature should survive termination (including Sections 8.3, 9, 16, 17, 18, and 21) will survive.

20. Changes to These Terms

Amerbach may update these Terms from time to time to reflect changes in the Services, legal requirements, or business practices. Where changes are material, Amerbach will provide reasonable advance notice, such as by posting a notice on the Platform or sending an email. Continued use of the Services after the effective date of updated Terms constitutes your acceptance of those Terms. If you do not agree to updated Terms, you must stop using the Services.

21. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Allegheny County, Pennsylvania, except where mandatory consumer protection law grants you the right to bring proceedings in your own place of residence, in which case that law will prevail.

22. General Provisions

22.1 Entire Agreement

These Terms, together with any documents incorporated by reference, constitute the entire agreement between you and Amerbach regarding the Services and supersede any prior agreements on the subject.

22.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be replaced with a valid provision that most closely reflects its intended effect.

22.3 No Waiver

Amerbach's failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other.

22.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without Amerbach's prior written consent. Amerbach may assign these Terms in connection with a merger, acquisition, or sale of assets, and will provide notice of any such assignment.
